Indemnification is a promise to protect a party from future claims or losses, similar to our company acting as an insurer and covering associated costs.

  1. The scope of indemnity depends on its terms:
    • Broad indemnity covers all actions or inactions of Talent.
    • Narrower terms, which is our preferred standard limit liability to Talent's gross negligence or willful misconduct as clients supervise Talent, and normal accidents should not be our responsibility.
  1. We also require a "Carve Out," ensuring we are not liable for claims caused by the client’s breach, unlawful actions, or negligence, which is a fair and reasonable condition.
  • Having a properly structured indemnity protects the branch's P&L and allows the branch to forecast for future costs correctly.
  • It also provides clarity if there is an accident on a site as each party will understand who is responsible for the costs.
